The majority of our transactional practice involves commercial contracts. We support in-house legal counsel in the review and revision of inbound and outbound master service agreements, software as a service agreements, and other types of service, vendor, and technology contracts. For our clients without in-house legal departments, we usually take on a more involved role, which can include preparation of agreements, legal analysis of proposed agreements or changes, and related consultation.

We address trademarks, copyrights, and trade secrets in licensing, technology, service, and confidentiality agreements. We handle trademark clearance and registration with the United States Patent and Trademark Office.

We handle trademark appeals and oppositions with the Trademark Trial and Appeal Board, trademark and copyright litigation in federal court, and trade secret litigation in state court. We send and respond to cease and desist and other types of demand letters involving trademarks, trade secrets, copyrights, patents, and other intellectual property rights.

We serve as outside general counsel, handling most general business matters in our office, and bringing in specialized counsel as needed, such as for securities issues or patent prosecution. In a typical outside general counsel arrangement, we will have regularly scheduled meetings with the client. In those meetings we review completed work and identify new matters and next steps. Outside of those meetings, we handle all or most of the general business work, such as a letter of intent or manufacturing agreement, and we work with outside counsel to address the rest, such as regulatory compliance or funding documents.
